What happens if you don't file a biennial statement in NY?

The Business Corporation Law and the Limited Liability Company Law compel all domestic and international enterprises to file a NY Biennial Statement Online every two years.
If you refuse to sign your biennial statement on time, the state will classify your LLC as 'delinquent' or 'not in good standing.' You must contact the Legal Founders state to obtain your biennial statement form to resolve this problem.
The state will send you a notice when your payment is due at the start of each season. Online-formed LLCs will receive an email notification for the biennial statement, whereas LLCs formed by mail will get their statement in the mail.
